MAKING SPACE RETREATS CLIENT AGREEMENT
Last updated: October 9, 2026
This Agreement ("Agreement") is made between MAKING SPACE LLC ("the Company"), as represented by SUZANNE OSTERSMITH ("the Facilitator"), and the person registering for a Making Space retreat ("the Client"). The Company and the Client are each a "Party" and together the "Parties." This Agreement takes effect on the date the Client checks the acceptance box at registration ("Effective Date").
The Facilitator and the Client agree as follows:
1. TERMS
a. This Agreement sets out the details of the retreat the Client has registered for ("the Retreat"), as described on that Retreat's registration page ("the Website"), including its dates. It also clarifies the roles of each Party so that the experience will be positive, productive, and comfortable.
b. The Retreat includes the meals, workshops, facilitated conversations, and creative activities described on the Website. Additional food, items, transportation, and resources may be included at the Facilitator's discretion.
c. Any costs not listed on the Website, including transportation and personal expenses, are the Client's responsibility. The Client acknowledges that no other costs beyond those described are included in the cost of the Retreat.
d. The Client will inform the Facilitator of any dietary restrictions at least fourteen (14) days before the start of the Retreat.
2. PAYMENT TERMS
a. The Client will make payment via the Website or another agreed-upon method, according to the payment schedule and deadlines shown on the Website.
b. Payments are non-refundable. Should the Client have to cancel or become unable to attend the Retreat, the Client may be invited to a future event at the Facilitator's discretion.
3. DISCLAIMERS
By participating in the Retreat, the Client acknowledges that the Facilitator and any guest speakers are not acting as medical doctors, psychologists, therapists, lawyers, or financial advisors, and that the facilitation and services provided do not replace the care of other professionals. Facilitation is in no way to be construed as, or substituted for, psychological counseling or any other type of therapy or advice.
The Facilitator may provide the Client with information and/or products that the Facilitator believes might benefit the Client, but such information is not an endorsement. The Facilitator is not responsible for any adverse effects or consequences that may result, directly or indirectly, from any information or facilitation provided.
The Facilitator may provide third-party recommendations for services such as photography, business, legal, financial, or health services. The Client agrees these are only suggestions, and the Facilitator is not liable for services provided by any third party or for any adverse effects or consequences that may result from them.
Any testimonials or examples shown on the Website are only examples of what may be possible. There can be no assurance of any particular outcome from participating in the Retreat.
4. CLIENT RESPONSIBILITY; NO GUARANTEES
The Client acknowledges that the Facilitator does not make any representations about future outcomes that may result from the Retreat. The Client accepts and agrees that she is 100% responsible for her own results. The Facilitator makes no representations, warranties, or guarantees, verbal or written, regarding the Client's performance.
5. INTELLECTUAL PROPERTY RIGHTS
The Facilitator retains all copyright and other intellectual property rights in the materials, in whatever form, that she uses or creates to provide the Retreat ("Materials"). Nothing in this Agreement transfers ownership of, or grants any right or license to, the Facilitator's intellectual property, other than as stated in this Agreement. Artwork created by the Client during the Retreat belongs to the Client.
6. PHOTOGRAPHY, RECORDING & RELEASE
The Retreat is an area where photography, video, and audio recording may occur. By participating, the Client consents to being recorded and photographed and to the use of her likeness, writing, artwork, and voice by the Company in any media, in perpetuity, for promotional, advertising, website, and other commercial or non-commercial purposes.
7. LIABILITY WAIVER & ASSUMPTION OF RISK
While the Facilitator will take every possible measure to ensure the Client's safety during the Retreat, the Facilitator cannot control every circumstance. The Client is legally responsible for her own safety and belongings and agrees to, and will be held legally liable for, the following statements:
I, the Client, accept all risk to my health and of my injury or death that may result from participating in the Retreat. I release the Facilitator and the Facilitator's companies, officers, employees, interns, sponsors, and representatives from any and all liability to me, my personal representatives, estate, heirs, next of kin, and assigns for any and all claims and causes of action for loss of or damage to my property and for any illness or injury to my person, including my death, that may result from or occur during my participation in the Retreat, whether caused by the negligence of the Facilitator, employees, or representatives, or otherwise.
I further agree to indemnify and hold harmless the Facilitator and any third party from liability for the injury or death of any person and damage to property that may result from my negligent or intentional act or omission while attending and participating in the Retreat. Under no circumstances will the Facilitator or her assigns be held liable for my injury or death or for any loss or damage of my personal belongings, including travel incidentals, resulting from my participation in the Retreat.
Should I require emergency medical treatment as a result of accident or illness arising during my attendance and participation in the Retreat, I consent to such treatment and agree to be financially responsible for any medical or legal bills incurred. I will notify the Facilitator verbally and in writing if I am injured before, during, or after the Retreat in my travels or attendance, or if I have medical conditions of which emergency medical personnel should be informed. I understand that the Facilitator is not legally obligated to act on that information or to provide any medical service to me.
COVID-19 and Communicable Illness. I understand that, while the Company has taken reasonable steps to lessen the risk of transmission of COVID-19 (including related variants) and other communicable illnesses in connection with the Retreat, the Company is not responsible for any risks related to them. I understand that these illnesses can be highly contagious and dangerous, and that contact with them may result in significant personal injury or death.
I am aware that participation in the Retreat, including any related travel, carries inherent risks of transmission that cannot be eliminated regardless of the care taken. These include, but are not limited to, close contact with individuals or objects that may be carrying illness; transmitting or contracting illness, directly or indirectly; and injuries and complications ranging from minor to catastrophic, including death. I voluntarily accept and assume all risk of loss, personal injury, sickness, death, damage, and expense arising from these inherent risks.
This Assumption of Risk, Release, and Waiver of Liability is binding on my heirs, executors, administrators, successors, and assigns. I agree that it is intended to be as broad and inclusive as applicable law permits, and that if any portion is found void or unenforceable, the remaining portions remain in full force and effect.
8. MEDICAL & HEALTH CONDITIONS
The Client must make the Facilitator aware at the time of booking of any pre-existing medical conditions, food allergies, or specific medication she is taking. If the Client does not do so, the Company will not be held responsible for any health issues that arise from possible contraindications.
9. INTERNET ACCESS & SECURITY
Wireless internet access, where available, is not guaranteed and is subject to third-party terms and conditions. The Facilitator reserves the right to disclose the Client's details to the internet service provider if it is discovered that the Client illegally downloaded content or otherwise engaged in unlawful activity while at the Retreat.
10. TRAVEL & TRANSPORT
The Client is responsible for her own travel arrangements, travel documentation, and insurance, and for arriving on time. The Company accepts no responsibility for the delay or cancellation of any flight, train, bus, or other form of transport.
11. HEALTH & SAFETY
The Client must comply with all health and safety regulations and rules of the property. The Client must ensure that she is medically and physically fit to use the facilities (including the hot tub) and to participate in activities (including hiking, walking, and movement sessions). If the Client has injuries or illnesses, she is advised to seek her doctor's advice before participating in physical activities. The Facilitator is not liable for any injuries to the Client in her use of facilities or participation in activities.
12. LOSS OR DAMAGE
The Company cannot accept responsibility for loss of or damage to the Client's personal possessions or valuables.
13. LIMITATION OF LIABILITY
The Facilitator is not liable for any failures beyond her control, including natural disasters, war, other acts of nature, closure of airports, civil strife, and accidents or failure to perform by third parties, including suppliers and subcontractors. The Facilitator accepts no liability for loss, damage, injury, or illness that may occur during the Client's stay or travel.
14. DISCLAIMER OF WARRANTIES
The Retreat and its activities are provided "as is," without any express, implied, or statutory warranties or representations, including, without limitation, warranties of quality, performance, non-infringement, merchantability, or fitness for a particular purpose.
15. FORCE MAJEURE
If any cause beyond the reasonable control of either Party makes it inadvisable, illegal, or impossible for that Party to perform its obligations under this Agreement, the affected Party's performance will be extended without liability for the period of delay or inability to perform. Such causes include, without limitation, acts of nature, war, interruption of transportation, threats or acts of terrorism, country travel advisories, a pandemic as defined by the World Health Organization, labor strike, civil disturbance, or unreasonably increased costs or risk of injury.
16. CHANGES & CANCELLATION BY THE FACILITATOR
The Facilitator may need to change details of the Retreat, including dates and location, before or after it has been confirmed, or may need to cancel a confirmed Retreat. The Facilitator will endeavor to avoid changes and cancellations but reserves the right to make them. If the Facilitator must cancel, the Client will be informed as soon as possible, and the Facilitator will reschedule for an agreed-upon future date.
17. DISPUTE RESOLUTION
If a dispute is not resolved by good-faith negotiation between the Parties, any controversy or dispute arising from this Agreement will be submitted to the American Arbitration Association. The arbitration will occur within ninety (90) days of the initial arbitration demand and will take place in Olympia, Washington, or by telephone. The Parties will cooperate in exchanging and expediting discovery and will work together to complete the arbitration within the ninety (90) day period. The written decision of the arbitrators (which will provide for payment of costs, including attorneys' fees) will be binding and conclusive and not subject to judicial review, and may be entered and enforced in any court of proper jurisdiction.
18. GOVERNING LAW
This Agreement is governed by and construed in accordance with the laws of the State of Washington, United States of America, regardless of conflict-of-laws principles. If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement will remain in full force and effect.
19. GOOD FAITH
Each Party represents and warrants to the other that it has acted in good faith, and agrees to continue to do so, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
20. ENTIRE AGREEMENT
This Agreement contains the entire agreement between the Parties and supersedes all prior agreements, written or oral. No representations, inducements, promises, or agreements not contained here have any force or effect. This Agreement may not be modified, amended, waived, or changed in any way except by a written instrument executed by authorized representatives of both the Client and the Facilitator.
ACCEPTANCE
By checking the acceptance box at registration, the Client confirms that she has read, understood, and agrees to this Agreement and intends it to serve as her electronic signature.
